Graystone, Sura and Argos acquire new shares after Grupo Nutresa takeover bid

The operation was formulated jointly and not jointly and intended for all shareholders of this Colombian company.

Grupo Nutresa SA reported that all stages of the public acquisition offer (OPA) for 23.1% of Grupo Nutresa's common shares have been completed. This was presented by Grupo Argos, Grupo Sura, JGDB Holding SAS, Nugil, and IHC Capital Holding LLC through the company Graystone.

The OPA is part of the Framework Agreement signed on June 15, 2023 by the companies. The result of the transaction was 102,914,771 shares, for a percentage of outstanding shares of 22.6%. This is equivalent to 97.3% of the shares demanded

The operation was formulated jointly and not jointly and intended for all shareholders of this company. As a result, interested parties received the following number of shares in the company:.

Graystone received 56,692,661 common shares, corresponding to 12.38% of Nutresa's outstanding shares.

Sura received 36,180,002 common shares, corresponding to 7.9% of Nutresa's outstanding shares.

Argos received 10,042,108 common shares, corresponding to 2.19% of Nutresa's outstanding shares.

JGDB and Nugil received no shares.

What's next in the companies' agreement?

As agreed in the Framework Agreement, once the OPA is completed, the parties will carry out the second exchange of shares with which the operations provided for in the aforementioned Agreement will culminate, and as a result of this, IHC, Graystone, Nugil and JGDB will be owners of 99, 38% of Grupo Nutresa shares.

This is thanks to the fact that Grupo Sura and Grupo Argos will deliver the 10.1% of Nutresa shares that were awarded to them in the takeover bid and will receive the remaining shares of Grupo Sura and Sociedad Portafolio SA, currently held by JGDB Holding SAS, NUGIL SAS and IHC Capital Holding LLC

The purpose of all these share movements is for the Argos and Sura groups to stop having shares in Grupo Nutresa, and IHC and JGDB and Nugil to stop having shares in Sura and Argos.
